Terms of Service

Last updated: June 12, 2026

1. Introduction

These Terms of Service govern the automation and development services provided by Kenneth Pineda, operating as TechnicalVA. I am an independent automation and development service provider. By engaging my services or accepting a proposal, you agree to these terms.

2. Scope of Work

Each project is defined by a written proposal or milestone agreement that describes the deliverables, timeline, and price. Any work that falls outside what is written in that proposal is considered out of scope and requires a separate agreement before it begins.

3. Payment Terms

Work is billed on a milestone basis. A deposit or the first milestone payment is required before work begins. Final deliverables are released once the agreed payment schedule has been completed in full. Invoices are due on the dates set out in the proposal.

4. Refund Policy

Deposits and milestone payments are non-refundable once work on that milestone has commenced. These payments reserve dedicated time on my schedule and cover work that has already been performed.

Custom digital work delivered to the client is not eligible for a refund once it has been completed and delivered. There are no refunds for a change of mind, for delays caused by the client, or for issues with third-party platforms that are outside my control.

5. Client Responsibilities

You agree to provide timely access to the accounts, credentials, data, and feedback I need to complete the work. Projects depend on this access. Delays caused by missing access, slow feedback, or incomplete information are not grounds for a refund and may extend the project timeline.

6. Revisions

Each milestone includes a reasonable number of revisions as set out in the proposal. Revisions beyond that allowance, or changes that alter the agreed scope, may incur additional charges quoted before the work is done.

7. Intellectual Property

On full payment for a project, you own the delivered systems, workflows, and configurations built for you. I may reference the work in an anonymized way in my portfolio and marketing, unless a separate confidentiality agreement says otherwise.

8. Third-Party Tools

You are responsible for your own subscriptions to the platforms your project runs on, including but not limited to GoHighLevel, n8n, Zapier, Make, and Twilio. I am not liable for third-party outages, pricing changes, or policy changes made by those providers.

9. Limitation of Liability

Services are provided on an "as is" basis. I am not liable for indirect or consequential damages, or for lost profits, arising from the use of the systems I build. My total liability for any claim is limited to the amount paid for the specific milestone the claim relates to.

10. Confidentiality

Your data and credentials are kept confidential and accessed on a least-privilege basis, meaning I only use the access required to perform the agreed work.

11. Termination

Either party may terminate an engagement with written notice. Any work completed up to the point of termination is payable and non-refundable.

12. Operating Context

I operate as a registered sole proprietor based in the Philippines, working with international clients remotely.
